Cooperative and Condominium Law

The firm currently serves as general counsel to the Boards of Directors and Managers of over 75 cooperatives and condominiums throughout the New York metropolitan area. As a result of Mr. Dix’s work in the field for over 22 years, including his representation of the Association of Riverdale Cooperatives, an community organization in Riverdale, New York with a membership of more than 100 cooperative corporations, the firm has developed a highly respected reputation in the area of cooperative and condominium law.

Clients range from multi-building, garden apartment complexes to small brownstones, including buildings converted from rental premises and new construction projects. We handle a full range of legal services for these clients, including matters arising out of governing documents such as offerings plans, proprietary leases and by-laws.

Issues include tenant-shareholder relations, election and Board procedures, collection of arrears in maintenance or common charges, labor disputes, discrimination claims, filing and foreclosing of liens, transfers of apartments and shares, sales and subleasing, mortgage refinancing, construction contracts and claims, tax certiorari proceedings, commercial leasing, and governmental matters.

Business and Corporate Law

The attorneys of Mitchell A. Health Care and Not-For-Profit Representation

Not-for-profit corporations and health care facilities in a wide range of matters, with particular emphasis on the development, expansion and financing of their physical facilities. In this area, we handle real estate, financing, construction, land use/zoning, administrative and community board proceedings and corporate work. On behalf of our health care and not-for-profit clients, we handle a broad range of facilities development matters as well as financing transactions.

In addition to matters involving buying or selling real estate or development rights for these clients, we handle matters involving construction and renovation of facilities, leasing of expansion or satellite space for medical or administrative purposes, bank loans and letter of credit financings, equipment financings (including tax exempt leasing programs) and facilities projects financings.

In the area of project financings, we have substantial experience in the handling of FHA-insured mortgage loans and tax-exempt bond financings.

Lending and Mortgage Refinancing

The timely refinancing of a residential or commercial property is one of the most significant determinants of its financial stability and often its profitability as a financial investment.

Through our resources and relationships with numerous institutional lenders, we have helped to secure and close all types of financing for our clients, many of which have significantly reduced operating expenses for the subject properties.

Litigation

Litigation at trial and appellate levels in the New York and New Jersey federal, state, and city courts, as well as a wide variety of cases before administrative agencies, arbitration and mediation panels and other forums for dispute resolution throughout the Metropolitan area. Our litigation philosophy is to actively explore settlement wherever possible, but to aggressively pursue litigation whenever it proves necessary to protect the interests of our clients.

For our individual clients, the firm has litigated cases involving personal injury, medical malpractice, product liability, probate, contracts, real estate, employment, and criminal law. In addition to actively litigating real estate and cooperative and condominium issues, our corporate litigation practice includes commercial disputes of all kinds, including corporate law, securities, partnerships, employment, contracts, construction and labor law.

The portion of the firm’s litigation practice relating to cooperatives and condominiums encompasses the broad spectrum of issues unique to cooperative and condominium ownership in all courts with jurisdiction over these matters, ranging from the relationships between the buildings and their tenants, shareholders and/or unit owners to disputes with contractors, service providers and third parties of all kinds.
